English to Spanish Bus/Financial Transport / Transportation / Shipping One way confidentiality agreement
BACKGROUND:

I've been asked to translate the confidentiality agreement of a US company but the first part has obviously not been written by a native speaker of English and it's causing me a bit of a headache. The rest of the agreement is fine.

I'm having trouble with 'in consideration of' in the last paragraph and would appreciate your help.

(Name of company) have decided to disclose our confidential information to You for the Purpose set out below and accordingly (name of company) wish, and You agree, to ensure such information is treated by You as confidential and protected in accordance with the terms of this Agreement.

THIS AGREEMENT is made between the Parties listed below, each individually referred to as a “Party” and collectively as the “Parties”, on the date of the last signature set out below:

You acknowledge and agree that (name of company) may disclose Confidential Information, belonging to Us or Our Affiliates, associates and subsidiaries or members of our Group, to You and **in consideration of** (name of company) providing same for the Purpose You undertake on the terms set out below and agree that the terms of this Agreement will apply to such disclosure.

Hi Helena,

I don't believe "in consideration of" is the problem here.
It's the sentence itself.

"You acknowledge and agree that (name of company) may disclose Confidential Information, belonging to Us or Our Affiliates, associates and subsidiaries or members of our Group, to You and **in consideration of** (name of company) providing same for the Purpose You undertake on the terms set out below and agree that the terms of this Agreement will apply to such disclosure."

Another sentence which implicitly calls for the re-instatement of the death penalty for certain crimes against translators.

I believe that one explanation is that what XXX undertakes ("en contraprestación"*) de la provision de los Datos Personales" has been merrily omitted.

"Undertake" obviously requires a dir.obj. and there ain't any.

Another possibility, if the perpetrator is Spanish-speaking (in which "comprometerse" requires no obj.), would be that they were thinking:

".....y en contraprestación de la provision/cesión/transferencia por (nombre empresa) de los mismos (los datos confidenciales), Uds. se comprometen(**) de acuerdo con los terminos expuestos a continuación y ...bla, bla...

(*) It's a contract, ergo "contraprestación" w/out which a contract cannot exist.)
(**) This is where the mental transcription of the Span. original comes in.

All this may well be "deformación profesional" but the capitalisation of certain words in the original reeks of Spanish.

Thanks, Andy. I chose 'in consideration of' because we can only post one term at a time and I thought that if I could clear that up, the rest of the sentence would be easier. The document, which appears to have come from Ireland, is for European transport companies; I would really love to send the document to the original company in the US! I don't think they would be very pleased.
