Phase Two Commitment

Offtake and Marketing Rights.
On and following the date on which the Investor (together with its Affiliates) has an aggregate Phase Two Commitment equal to $1,500,000,000 (which Drawdowns on such Phase Two Commitment to fund the direct or indirect acquisition of any Phase Two Assets will, for the avoidance of doubt, remain subject to the designation of such Phase Two Asset as an SAO-Approved Phase Two Asset), the Investor (or its designated Affiliate) shall have the exclusive right (but not an obligation) to offtake and purchase or market and sell, as applicable, 50% of the marketable LNG volumes allocable to MidOcean Holdings II or its Subsidiaries with respect to any Phase Two Asset in respect of which there has been a Drawdown of the Investor’s Phase Two Commitment (each, an “Offtake and/or Marketing Opportunity”), in each case (i) with any right to offtake at a transfer price (on a FOB load port (Incoterms) basis) that is fair and reasonable, determined based on the LNG market price at such location taking into account the Investor’s buyer profile (including creditworthiness) and the material offtake of uncontracted capacity, and (ii) to the extent in accordance with Applicable Law and the terms and conditions with respect to such allocable volumes.
