Texto de origen - español CONTRATO DE TRANSFERENCIA DE ACCIONES
Entre el señor […] a quien en adelante y para efectos del presente Contrato se le llamará el “VENDEDOR”, por una parte; y, por otra parte el señor […] a quien en adelante se denominara como el “ADQUIRENTE”, convienen en celebrar el presente Contrato TRANSFERENCIA DE ACCIONES, contenido en las siguientes cláusulas:
PRIMERA: ANTECEDENTES.-
a) El Adquirente es una persona natural que como actividad económica tiene las la venta, compra, distribución de equipos e insumos petroleros.
b) Debido a la naturaleza y giro de sus actividades, el Adquirente, junto a su socio, el señor […], tienen la necesidad de comprar una Sociedad Anónima con domicilio en el Ecuador.
c) El Adquirente comparece por sus propios derechos y en representación de su socio el Sr. […].
d) El Vendedor es Abogado y propietario de una Sociedad Anónima denominada […] que fue constituida el 12 de noviembre del año 2007 y sobre la cual se encuentra facultado para realizar transferencia de las acciones a nuevos adquirentes, realizar el trámite de aumento de capital, ampliar la razón social de la misma, y tramitar nombramiento de nuevo Presidente y Gerente General de la misma.
SEGUNDA: OBJETO.-
Con los antecedentes expuestos, por medio del presente contrato, el Adquirente compra al Vendedor el 100% del capital accionario de la compañía denominada […]
Por su parte el Vendedor se compromete a entregar al Adquirente la compañía con todas las obligaciones societarias al día, libre de cualquier gravamen, con la transferencia de las acciones inscrita a nombre de las personas que el Adquirente determine, a realizar el aumento de capital de la empresa en el monto que los nuevos accionistas soliciten, ampliar de la razón social de la misma a las actividades económicas que el Adquirente y sus socios determinen, y a realizar el trámite de nombramiento de Presidente y Gerente General que la Junta General de Accionistas designe como nuevos administradores.
TERCERA: FORMA DE PAGO.-
Por todo lo anterior el Adquirente se obliga a pagar al Vendedor la suma de veinte mil dólares de los Estados Unidos de América (USD$20,000.00) los mismos que serán cancelados de la siguiente manera:
1.- 50% a la firma de este contrato, es decir diez mil dólares de los Estados Unidos de América (USD$10,000.00);
2.- Cinco mil dólares de los Estados Unidos de América (USD$5,000.00) contra la transferencia de las acciones;
3.- Dos mil quinientos dólares contra la entrega recepción de la designación e inscripción de nuevo General y Presidente; y,
4.- Dos mil quinientos dólares contra la entrega recepción de la ampliación de la razón social y aumento de capital antes indicados.
Estos valores no incluyen el impuesto al valor agregado IVA en lo que fuera pertinente.
CUARTA: GASTOS.-
Todos los gastos que se causen y originen por ocasión del trabajo encomendado, ya sean viajes, llamadas telefónicas, impuestos, tasas, movilización y otros serán de cargo y cuenta exclusiva del Adquirente y deberán ser cancelados previamente luego de recibir una planilla detallada de los mismos.
El Vendedor se compromete a entregar al Adquirente los recibos o facturas que se generen con ocasión de los gastos antes indicados.
QUINTO: ALCANCE DEL CONTRATO.-
El alcance de los servicios que el Vendedor se compromete a prestar dentro de esta transacción de transferencia de acciones incluye la entrega de la compañía […] libre de todo gravamen e inscrita a nombre de los nuevos accionistas; a realizar el aumento de capital que fuera solicitado por el Adquirente y sus socio; así mismo, a realizar la ampliación del objeto social de la empresa en los términos que el Adquirente requiera, y realizar el trámite de nombramiento de nuevo Gerente General y Presidente con las respectivas inscripciones en el Registro Mercantil.
SEXTA: DURACIÓN Y VIGENCIA.-
Las partes convienen en que este contrato, por su naturaleza, tiene plazo indefinido, el mismo que terminará con el cumplimiento del objeto principal o de común acuerdo, en cuyo caso, de la misma forma las partes liquidarán los valores pendientes que correspondan.
SÉPTIMA: LITIS.-
En caso de existir discrepancias provenientes del presente contrato, y que no puedan ser resueltas por mutuo acuerdo entre las partes, los contratantes someten sus controversias a la resolución de un Tribunal de Arbitraje de la Cámara de Comercio Ecuatoriana Americana, a la Ley de Arbitraje y Mediación de la República del Ecuador, al Reglamento del Centro de Mediación de la Cámara Ecuatoriana Americana y a las siguientes normas:
a. Las partes renuncian a la jurisdicción ordinaria, y se someten a un proceso arbitral.
b. Las partes se obligan a acatar el laudo que expida el Tribunal Arbitral y se comprometen a no interponer ningún recurso en contra del laudo arbitral.
c. Para la ejecución de medidas cautelares el Tribunal Arbitral está facultado para solicitar el auxilio de los funcionarios públicos judiciales, policiales y administrativos sin que sea necesario recurrir al juez ordinario alguno.
d. El Tribunal arbitral estará integrado por un Árbitro, el mismo que será seleccionado conforme con lo establecido en la Ley de Arbitraje y Mediación.
e. Los árbitros efectuarán un arbitraje en derecho.
f. El procedimiento tendrá el carácter de confidencial.
g. El lugar del arbitraje será en las instalaciones del Centro de Arbitraje y Mediación de la Cámara Ecuatoriana Americana.
h. Los costos del arbitraje serán asumidos por la parte que incumplió con sus obligaciones contractuales.
Para constancia y ratificación de lo convenido, las partes suscriben el presente contrato en tres ejemplares de igual tenor y valor, en la ciudad de Quito, 06 días del mes febrero del 2014.
Between Mr. […] hereinafter the "SELLER", and Mr. […], hereinafter the "PURCHASER", whom agree to subscribe this SHARE TRANSFER Contract, according to the following clauses:
FIRST: BACKGROUND.-
a) The Purchaser is a natural person whose economic activity is the sale, purchase, and distribution of oilfield equipment and supplies.
b) Due to the nature and line of its business activities, the Purchaser, along with his partner, Mr. […], have the need to purchase a Public Limited Company domiciled in Ecuador.
c) The Purchaser appears by his own free will, and in representation of his partner, Mr. […].
d) The Seller is an Attorney, and the owner of a Public Limited Company named […] which was incorporated on November 12, 2007, and of which he is entitled to transfer shares to new purchasers, perform an increase in capital, expand the company's corporate purpose, and appoint a new President and General Manager.
SECOND: OBJECTIVE.-
With the background set forth, as per this contract, the Purchaser buys 100% of the share capital of […] from the Seller.
For his part, the Seller undertakes to deliver the company to the Purchaser, with all its Corporate obligations current, free of any tax responsibility, with the transfer of the shares registered under the name of those persons specified by the Purchaser; to perform the increase of the company's capital in the amount requested by the new shareholders; to expand the company's corporate purpose to include those economic activities specified by the Purchaser and his partners, and to appoint the President and General Manager that the General Shareholder's Meeting designate as the new administrators.
THIRD: PAYMENT TERMS.-
In accordance with all of the above, the Purchaser undertakes to pay the Seller the amount of twenty thousand United States Dollars (USD$20,000.00), to be paid in the following manner:
1.- 50% upon the signing of this contract, in other words ten thousand United States Dollars (USD$10,000.00);
2.- Five thousand United States Dollars (USD$5,000.00) upon the transfer of the shares;
3.- Two thousand five hundred dollars upon delivery of the designation and registration of the new General Manager and President; and,
4.- Two thousand five hundred dollars upon delivery of the aforementioned expansion of the corporate purpose and increase in capital.
These values do not include the Value Added Tax VAT, should it apply.
FOURTH: EXPENSES.-
All the expenses incurred as a result of the ordered work, be they related to trips, telephone calls, taxes, fees, transport, and others, shall be the exclusive responsibility of the Purchaser, and must be paid upon receipt of a detailed expense report.
The Seller undertakes to deliver the receipts or invoices resulting from the aforementioned expenses to the Purchaser.
FIFTH: SCOPE OF THE CONTRACT.-
The scope of the services that the Seller undertakes to render within this share transfer transaction includes the delivery of the company […] free of any tax responsibility, and inscribed on behalf of the new shareholders; to perform the capital increase requested by the Purchaser and his partner; likewise to perform the expansion of the corporate purpose of the company as required by the Purchaser, and to appoint a new President and General Manager, with the respective entries in the Mercantile Registry.
SIXTH: DURATION AND VALIDITY.-
The parties agree that this contract, due to its nature, has an indefinite duration, which shall end upon the fulfillment of the main or mutually agreed upon objective, in which case, the parties shall settle all corresponding outstanding values equally.
SEVENTH: CONFLICT RESOLUTION.-
Should there be any disagreement resulting from this contract, and which cannot be resolved by mutual agreement between the parties, the parties shall submit their disagreement to be resolved by an Arbitration Tribunal of the Ecuadorian American Chamber of Commerce, by the Arbitration and Mediation Law of the Republic of Ecuador, by the Regulation of the Mediation Center of the Ecuadorian American Chamber, and by the following norms:
a. The parties waive ordinary jurisdiction and submit to an arbitration process.
b. The parties undertake to comply with the ruling issued by the Arbitration Tribunal, and to not file any appeal against said ruling.
c. In regards to the execution of precautionary measures, the Arbitration Tribunal is entitled to request the aid of public, judicial, police and administrative officials, without it being necessary to turn to an ordinary judge.
d. The Arbitration Tribunal shall be composed of one Arbiter, the same which shall be selected in accordance with what is set forth in the Arbitration and Mediation Law.
e. The arbiters shall perform an arbitration at law.
f. The proceeding shall be confidential.
g. The place of arbitration shall be the facilities of the Arbitration and Mediation Center of the Ecuadorian American Chamber.
h. The costs of arbitration shall be the responsibility of the party that failed to fulfill its contractual obligations.
In witness whereof, the parties subscribe this contract in three copies of equal content and value, in the city of Quito, on February 6, 2014.

Case Study: LCPP […] Fruta del Norte

[...] and market access ([...]) is a CSR firm whose expertise lie in creating and executing CSR and capacity building solutions for the extractive industry. Through our work, our public and private sector clients are able to mitigate operational risk, improve productivity, create opportunities for local sourcing and build strong community relations, ultimately enabling them to gain market access and secure the social license to operate.
The Local Community Procurement Program (LCPP)
The LCPP is a sustainable market access and capacity building model whose aim is to provide small and medium-sized enterprises (SME’s) with the tools and resources necessary for them to become competitive suppliers in their local economies. The LCPP contributes to increasing productivity, promoting innovation, and improving relations between the private sector and communities in the company’s areas of influence.
The LCPP is based on a four-pillar approach. The first pillar is focused on understanding each communities’ capacities and challenges and identifying industries in which locals can secure economic opportunities as a supplier. The second and third pillar concentrates on transferring practical hands-on skills and technical knowledge (.g. small business management, quality control, hygiene etc.) to the LCPP participants, effectively opening opportunities in the local market to them. In the year post-program completion, each participant will be supported with continued coaching and evaluation and offered the opportunity to participate in supplementary training modules to enhance and fortify their skills.
LCPP [...] Fruta del Norte
In 2011, [...] began working with communities in [...]’ direct area of influence (DAI). Through a series of community consultations and meetings, [...] was able to identify the main capacities, challenges, and socio-economic conditions of each of the 23 communities within the DAI. In consideration of these factors and the operational demands and trends identified by [...], [...] designed the 2011 Pilot program: LCPP Food Processing (It is important to note that the LCPP Pilot only addressed one of the issues identified in our assessment. Through the continued implementation of the LCPP in 2012-2014, [...] will be providing solutions to other issues identified by the community and [...] Gold).
The LCPP Pilot commenced in October 2011 with 19 participants. Each successful participant in the program completed three training modules: Hygiene in Food Processing, Cooking Planning and Techniques, and Supplier and Small Business Management. In total, the overall investment in technical and theoretical training during the Pilot cumulated to 997 hours among the 19 participants.
Impact of the Pilot
Case Study Spotlight: Maria Utitiap, a native Shuar from the El Zarza community, participated in [...]’s 2011 LCPP Pilot. Ms. Utitiap is illiterate; despite this inhibiting factor she successfully graduated from the LCPP Pilot and now works as a food supplier for [...]’ Nivelacion Escolar. The diploma she attained for her successful completion of the LCPP is her first and only diploma.
Ms. Utitiap’s story demonstrates the LCPP’s ability to overcome traditional constraints. By using demonstrations and hands-on workshops, the LCPP ensures that its training is inclusive to all participants and their varying academic backgrounds. The LCPP Pilot successfully trained six individuals who are either illiterate or have less than 1-3 years of formal education.
The LCPP also considers other vulnerable groups such as women and the elderly in its program design. Of the 16 successful graduates, 14 were women and 5 were seniors. Through our community assessments, we recognized that employment opportunities for women and the elderly are rare, thus, the LCPP Pilot was designed to be inclusive of both groups and recognize their unique experiences (Please refer to Appendix A for a table that highlights the Impact of the 2011 Pilot)
LCPP Implementation 2012-2014
Through 2012-2014, [...] will continue to implement 2 LCPP’s per month in the DAI, the Los Encuentros Parish, and will continue the supplementary coaching and training of its past graduates.
In 2012, it is expected that 9% (360 people) of the total population (4,010 people) in the DAI will be impacted by the LCPP. In total, this will result in 21,880 hours of invested towards training of the LCPP participants. Of these participants, it is expected that at least 70% of them will complete hygiene training, resulting in 252 community members trained in proper hygiene standards. Furthermore, 60% of the participants are expected to be women, while 15% are expected to be seniors and 30% will be youth. Finally, the LCPP will continue to work with illiterate individuals; we estimate that 25% of our participants will be individuals with either no formal education or only 1-3 years of formal education.
In the third quarter of 2012, [...] will begin to implement the regional and national LCPP strategy. The regional strategy will focus on developing key relationships with industry and government associations in Zamora Chinchipe with the aim of developing supplier opportunities at that level. We will align our efforts with associations such as the Ministry of Agriculture and SECAP, among others, and deliver key technical expertise to members of these associations and select small and medium sized businesses.
The national strategy will focus on raising awareness about [...]’ CSR policies throughout Latin America. The focus of this awareness will surround the Company’s commitment to local sourcing and hiring, will detail how the Company has created a sustainable supply chain and inform potential suppliers about the Company’s sourcing and procurement requirements. This national dialogue will take place at such events as CSRAmericas 2012 and in partnership with Consejo de Mineria Responsable, Centro de Responsabilidad Empresarial and Camara de Comercio Ecuadorian Canadian, among others.

El Programa de Adquisiciones de la Comunidad Local (LCPP)
El LCPP es un modelo sostenible de acceso a mercados y desarrollo de capacidades, cuyo objetivo es el de proporcionar a las PYMES las herramientas y recursos necesarios para que éstas se conviertan en proveedores competitivos dentro de sus economías locales. El LCPP contribuye al aumento de la productividad, al fomento de la innovación, y al mejoramiento de las relaciones entre el sector privado y las comunidades en el área de influencia de la empresa.
El LCPP se basa en una estrategia de cuatro pilares. El primer pilar se enfoca en entender las capacidades y desafíos de cada comunidad y en identificar las industrias dentro de las cuales sus habitantes pueden convertirse en proveedores para obtener beneficios económicos. El segundo y el tercer pilar se concentran en transferir habilidades prácticas y conocimientos técnicos (por ejemplo, gestión comercial, control de calidad, higiene, etc.) a los participantes del LCPP, así facilitándoles más oportunidades en el mercado local. Durante la completación posprograma que dura un año, cada participante recibirá el apoyo de una instrucción y evaluación continua, y se le ofrecerá la oportunidad de participar en módulos de capacitación suplementarios para mejorar y fortalecer sus habilidades.

En el año 2011, […] comenzó a trabajar con comunidades dentro del área de influencia directa (DAI por sus siglas en inglés) de […]. Por medio de una serie de consultas y reuniones con la comunidad, O trade pudo identificar las principales capacidades, desafíos y condiciones socioeconómicas de cada una de las 23 comunidades dentro de la DAI. En consideración de estos factores y las exigencias operativas y tendencias identificadas por […], O trade diseñó el Programa piloto de 2011: Procesamiento de Alimentos LCPP (Es importante mencionar que el LCPP Piloto únicamente abordó los temas identificados en nuestra evaluación. A través de la implementación continua del LCPP en 2012-2014, O trade proporcionará soluciones respecto a otros temas identificados por la comunidad y […]).
Se lanzó el LCPP Piloto en octubre de 2011 con 19 participantes. Cada participante que terminó exitosamente el programa completó tres módulos de capacitación: Higiene en el Procesamiento de Alimentos, Planificación y Técnicas de Cocina, y Gestión de Proveedores y Micro Empresas. En total, la inversión general en cuanto a capacitación técnica y teórica durante el Piloto llegó a 997 horas entre los 19 participantes.
Impacto del Piloto
Enfoque en el Estudio: Maria Utitiap, una Shuar nativa de la comunidad El Zarza, participó en el LCPP Piloto de O trade en el año 2011. La Señorita Utitiap es analfabeta; a pesar de este factor limitante, se graduó del LCPP Piloto y actualmente trabaja como proveedora de alimentos para la Nivelación Escolar de […]. El diploma que obtuvo por completar el LCPP es su primer y único diploma.
La historia de la Señorita Utitiap’s demuestra la habilidad del LCPP en superar las limitaciones tradicionales. Al hacer uso de demostraciones y talleres prácticos, el LCPP asegura que su capacitación incluye todos los participantes y sus diferentes antecedentes académicos. El LCPP Piloto capacitó a seis personas analfabetas o que tienen menos de 1-3 años de educación formal.
Dentro del diseño del programa, el LCPP también considera a otros grupos vulnerables, como a las mujeres y a las personas de tercera edad. De los 16 graduados, 14 fueron mujeres y 5 fueron personas de la tercera edad. Por medio de nuestras evaluaciones comunitarias, encontramos que las oportunidades laborales para las mujeres y las personas de la tercera edad son escasas, por lo tanto el LCPP Piloto fue diseñado para incluir a ambos grupos, y reconocer sus experiencias únicas (Véase el Apéndice A para una tabla que destaca el impacto del Piloto de 2011)
Implementación del LCPP 2012-2014
Durante los años 2012-2014, […] continuará implementando 2 LCPPs al mes en el DAI, la Parroquia de Los Encuentros, y continuará la instrucción y capacitación suplementaria de sus graduados anteriores.
En el año 2012 se espera que el LCPP tenga un impacto en un 9% (360 personas) de la población total (4.010 personas) dentro del área de influencia directa (DAI). En total, esto resultará en 21.880 horas invertidas en la capacitación de los participantes del LCPP. De estos participantes, se espera que por lo menos un 70% de ellos complete la capacitación con respecto a higiene, resultando en 252 miembros de la comunidad quienes estén capacitados en estándares adecuados de higiene. Es más, se espera que un 60% de los participantes sean mujeres, mientras que un 15% sean personas de la tercera edad y un 30% sean jóvenes. Por último, el LCPP continuará trabajando con personas analfabetas; se proyecta que un 25% de nuestros participantes serán personas sin ninguna educación formal o con solo 1-3 años de educación formal.
Durante el tercer trimestre de 2012, […] comenzará a implementar la estrategia regional y nacional de LCPP. La estrategia regional se enfocará en el desarrollo de relaciones clave con asociaciones industriales y gubernamentales en Zamora Chinchipe, con el objetivo de desarrollar oportunidades para proveedores a ese nivel. Alinearemos nuestros esfuerzos con asociaciones como el Ministerio de Agricultura y la SECAP, entre otras, y proporcionaremos la pericia técnica clave a miembros de estas asociaciones, y algunas PYMES seleccionadas.
La estrategia nacional se enfocará en crear la conciencia respecto a las políticas de RSC de […] en toda Latinoamérica. El enfoque de esta conciencia girará en torno al compromiso de la Compañía con respecto a la selección y contratación local, detallará cómo la Compañía ha creado una cadena de abastecimiento sostenible, e informará a los proveedores potenciales acerca de los requisitos de selección y adquisición de la Compañía. Este diálogo nacional se dará en eventos como CSRAmercias 2012 y en asociación con el Consejo de Minería Responsable, el Centro de Responsabilidad Empresarial, y la Cámara de Comercio Ecuatoriana-Canadiense, entre otros.

Well, I'm an "Utlandsvensk" (Swede Expat) who grew up throughout Latin America and the Caribbean speaking English and Spanish. After high school I went to university both in the US and Europe. Once I graduated college I lived and worked in Sweden, Ecuador, Spain and England. I guess it's safe to say that a career in language services was inevitable. I've worked in the translation industry for over 10 years now, first as a Project Manager, later an Account Manager, then a Sales Manager, and now, as a translator.
In many ways it actually is the perfect fit for me, given that languages and communication have been a key element throughout my life, regardless of my location and occupation/activities at the time.
Being able to interact with people from all over, and read and translate material of different kinds and into different languages, definitely keeps me interested and on my toes. It boils down to continuous learning and training, always something new on the horizon, whether it be a new subject matter, linguistic style or piece of software, to be implemented in furthering my career. It's an interesting and exciting ride, that's for sure.
